Welcome to HRD Easy! These Terms of Use (“Terms”) govern your access to and use of the HRD Easy website located at https://hrdeasy.webx.my/ (the “Site”) and the services, features, and content provided through it (collectively, the “Service”).
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.
1. Introduction and Agreement
HRD Easy provides an AI-powered platform designed to help businesses and individuals quickly and efficiently create HRDC-ready training courses and content. These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and HRD Easy (“we,” “us,” or “our”).
2. Definitions
“Service” refers to the HRD Easy website, platform, tools, and all related content and features provided by HRD Easy.
“User” or “You” refers to any individual or entity accessing or using the Service.
“User Content” refers to any data, information, text, images, or other materials that you upload, submit, or create using the Service.
“HRDC” refers to Human Resources Development Corporation, Malaysia, and its guidelines, requirements, and regulations for training courses.
3. Account Registration and Responsibilities
3.1 Account Creation: To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security. HRD Easy cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
3.3 Eligibility: By creating an account and using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract in Malaysia.
4. Service Description and Usage
4.1 Service Provided: HRD Easy provides tools and features that leverage artificial intelligence to assist in the generation, structuring, and formatting of training course materials. Our Service is intended to accelerate your course creation process and assist in meeting HRDC compliance standards.
4.2 No Guarantee of HRDC Approval: While the Service is designed to aid in creating HRDC-ready courses, HRD Easy does not guarantee, explicitly or implicitly, that any content generated using the Service will be approved by HRDC or any other regulatory body. Final responsibility for HRDC compliance and submission rests solely with you.
4.3 Accuracy of AI-Generated Content: The AI-generated content is based on algorithms and publicly available data. HRD Easy does not guarantee the absolute accuracy, completeness, or up-to-dateness of any generated content. You are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of all generated content before use or submission.
4.4 Fair Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service:
* In any way that violates any applicable federal, state, local, or international law or regulation in Malaysia.
* For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
* To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
* To impersonate or attempt to impersonate HRD Easy, an HRD Easy employee, another user, or any other person or entity.
* To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm HRD Easy or users of the Service or expose them to liability.
5. User Content and Intellectual Property
5.1 Your Content Ownership: You retain all rights, title, and interest in and to your User Content. HRD Easy does not claim ownership over any User Content you upload or create using the Service.
5.2 License to HRD Easy
By submitting User Content to the Service, you grant HRD Easy a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purpose of operating, improving, and providing the Service to you. This license explicitly does NOT grant HRD Easy the right to use your User Content to create, develop, or market our own courses, training materials, or any other products or services independent of providing the Service to you.
5.3 AI Model Usage
You acknowledge and agree that HRD Easy leverages third-party Large Language Models (LLMs) such as those from OpenAI (e.g., ChatGPT) and Google (e.g., Gemini) to power the content generation features of the Service. HRD Easy does NOT use your specific User Content to train or improve these underlying third-party AI models or any proprietary models. Your User Content is processed by these LLMs only for the purpose of generating responses and content for your direct use within the Service, in accordance with the data handling practices of the respective third-party providers.
5.4 Intellectual Property of HRD Easy: All intellectual property rights in the Service, including but not limited to software, code, algorithms, visual interfaces, interactive features, graphics, design, compilation, products, and all other elements of the Service (excluding User Content), are owned by HRD Easy or its licensors. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted for your own personal, non-commercial use.
6. HRDC Compliance
6.1 Your Responsibility: You acknowledge that HRDC guidelines and requirements may change. It is your sole responsibility to stay informed of the latest HRDC regulations and to ensure that all courses you create and submit using the Service meet these standards.
6.2 No Legal Advice: HRD Easy does not provide legal, compliance, or regulatory advice. The information and tools provided by the Service are for general informational purposes and assistance only and should not be relied upon as a substitute for professional advice.
7. Fees and Payment
7.1 One-Time Purchase: Access to the HRD Easy Service is granted upon a one-time payment. The current fee for accessing the Service is Ringgit Malaysia Two Hundred Ninety-Nine (RM299.00).
7.2 Payment Processing: All payments for the Service are processed through secure third-party payment gateways (e.g., Stripe, CHIP, or others as may be used from time to time). By making a payment, you agree to comply with the terms and conditions of the respective third-party payment gateway. HRD Easy does not store your full payment card details on its servers.
7.3 Money-Back Guarantee and Refunds:
We offer a money-back guarantee for your purchase of the Service. To qualify for a refund, you must submit your refund request within seven (7) days of the delivery of the Service. All refund requests are subject to our review and compliance with the terms of this guarantee. Beyond this 7-day period, all fees paid for the Service are non-refundable, except as explicitly required by Malaysian consumer protection laws.
8. Disclaimers (No Warranties)
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HRD EASY SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
HRD EASY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE SERVICE OR THE SERVER(S) THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW IN MALAYSIA, IN NO EVENT SHALL HRD EASY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF HRD EASY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HRD EASY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO HRD EASY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless HRD Easy, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of these Terms or your use of the Service, including but not limited to any User Content you submit, post, or transmit through the Service.
11. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or follow the instructions on the Site.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the Arbitration Act 2005 of Malaysia. The seat of arbitration shall be Kuala Lumpur, Malaysia. The language of the arbitration shall be English. The number of arbitrators shall be one (1).
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
